General Terms and Conditions (B2B)

1. Scope of application

The following General Terms and Conditions apply to all orders placed via our online shop by consumers and entrepreneurs.

A 'consumer' is any natural person who concludes a legal transaction which, to an overwhelming extent, cannot be attributed to either his commercial or independent professional activities. An 'entrepreneur' is a natural or legal person or a partnership with legal capacity acting in exercise of its commercial or self-employed professional duty when concluding a legal transaction.

These General Terms and Conditions shall also apply for future business relationships, even if we have not explicitly referred to them again. Any supplementary or conflicting general terms and conditions of the entrepreneur shall not apply unless we have expressly agreed to them.

2. Contract parties, conclusion of contract

The purchase contract is concluded with Blome-Tillmann GmbH.

The presentation of the products in the online shop is not a legally binding offer, but a non-binding online catalogue. You can place your purchase into the shopping cart, with no obligation to purchase, and correct your entries at any time before sending your binding order by using the provided proofing tools described in the order process. By clicking the order button, you submit a binding order of the products in the shopping cart. You will receive a confirmation of order via email immediately after submitting the order; this does not constitute a binding acceptance of the contract. We can accept your order by sending a declaration of acceptance in a separate email or by delivery of the goods within 2 days.

The languages available for the conclusion of the contract are German and English.

The text of the contract shall not be stored by us.

3. Terms of delivery

Shipping costs shall be incurred in addition to the product prices. You will find details of the shipping costs under the offers.

You generally have the option of collecting your goods at Blome-Tillmann GmbH, Hanns-Martin- Schleyer-Str. 1, 59846 Sundern, Germany, during the following business hours:

Monday - Friday: 7 am - 12 pm and 1 pm - 4 pm.

We do not deliver to Packstationen (DHL parcel pick-up stations).

The following methods of payment are available are in our shop:

Payment in advance

If you select payment in advance, we will provide our bank details in the confirmation of order and deliver the goods after receipt of payment.

5. Right of withdrawal

Consumers are entitled to a statutory right of withdrawal as described in the Cancellation Policy. Entrepreneurs shall not be granted a voluntary right of withdrawal.

6. Reservation of titles

The goods remain our property until complete payment.

For entrepreneurs, the following provision shall also apply: We reserve the ownership of the goods until full settlement of all claims arising from an ongoing business relationship. You are entitled to resell the reserved goods in the ordinary course of business; you shall assign to us in advance all claims arising from this resale - regardless of whether the reserved goods have been combined or mixed with other items - in the amount of the final invoice amount; we hereby accept this assignment. You remain authorised to collect the claims; we are however entitled to collect the accounts receivable, if you fail to meet your payment obligations.

7. Transport damage

The following applies to consumers: If the goods are delivered with obvious transport damage,

please lodge a complaint as soon as possible with the delivery company and contact us without delay. The failure to lodge a complaint or to contact us has no consequences for your statutory rights and their enforcement, in particular your warranty rights. It will however help us to be able to assert our own claims against the carrier or transport insurance company.

The following applies to entrepreneurs: The risk of accidental loss and accidental deterioration passes on to you as soon as we have delivered the goods to the freight forwarder, carrier or the person or institution certain tasked with carrying out the shipment. The obligation to examine the goods and give notice of defects as laid down in Section 377 of the German Commercial Code (HGB) shall apply among merchants. If you fail to give notice of defects as laid down there, the goods are deemed to have been accepted unless the defect is of such a nature that it cannot be recognized during an inspection. This shall not apply if we have fraudulently concealed a defect.

8. Warranty and guarantees

The statutory rights of liability for defects shall apply. You will find information about any applicable additional guarantees and their exact conditions both at the product and on special information pages in the shop.

9. Final provisions

If you are an entrepreneur, German law shall apply and the UN Convention on the Sale of Goods shall be excluded.

If you are a merchant within the meaning of the German Commercial Code, a legal person under public law or a special fund under public law, the exclusive legal venue for all disputes arising from contractual relationships between you and us shall be our business domicile.
